- Logo & Brand Identity Design
- E-Commerce Solutions
- Motion Graphics & Animation
- Book Writing, Publishing & Marketing Services
- Custom Software & Web Applications
By engaging our services—whether through a signed proposal, email confirmation, payment, or project kickoff—you agree to be bound by these Terms. If you do not agree, please refrain from using our services.
1. Scope of Services
All services are provided on a project-by-project basis as outlined in a formal proposal, statement of work (SOW), or service agreement. Final deliverables, timelines, revisions, and pricing will be specified in writing prior to commencement. Verbal agreements are not binding. We reserve the right to decline any project at our sole discretion.
2. Client Responsibilities
To ensure timely and successful project delivery, you agree to:
- Provide all necessary content (text, images, logos, brand assets) in a timely manner.
- Respond to requests for feedback or approvals within 5 business days.
- Ensure you have legal rights to all materials you supply.
- Designate a single point of contact for communication.
Delays caused by the Client may result in timeline adjustments or additional fees.
3. Payment Terms
A non-refundable deposit of 50% is required to begin work (unless otherwise agreed in writing). The remaining balance is due upon project completion and before final files or launch. For ongoing services (e.g., SEO, maintenance), payments are billed monthly in advance. Late payments incur a 1.5% monthly interest fee or the maximum allowed by law. All fees are in U.S. Dollars (USD) and exclude applicable taxes. We accept payments via bank transfer, credit card, or PayPal.
4. Revisions & Approvals
Most packages include 2 rounds of minor revisions per phase. Major scope changes or additional revision rounds will be billed hourly at $125/hour. Projects are considered approved if no feedback is received within 7 days of delivery.
5. Intellectual Property
Upon Full Payment: You receive full ownership of final deliverables (e.g., logo files, website code, book manuscript). We retain the right to display completed work in our portfolio, case studies, and marketing materials unless a non-disclosure agreement (NDA) is signed.
Third Party Assets: Stock photos, fonts, plugins, or software licenses (e.g., Shopify themes, premium WordPress plugins) are either billed separately or require your own license. We are not responsible for licensing compliance of third-party tools you choose to use post-launch.
6. Website Hosting, Domains & Third Party Platforms
Domain registration and hosting are not included unless explicitly stated in your proposal. We recommend trusted U.S.-based providers (e.g., SiteGround, Cloudflare, AWS) for optimal performance and security. You are solely responsible for renewing domains and hosting accounts. We are not liable for site downtime due to expired services.
7. SEO & Marketing Performance Disclaimer
While we implement industry best practices for on-page SEO, technical optimization, and content strategy, we do not guarantee specific rankings, traffic volumes, or conversion rates. Search engine algorithms are outside our control. Results vary based on competition, market, and ongoing maintenance.
Similarly, book sales, app downloads, or lead generation depend on many external factors beyond our services.
8. Confidentiality
We treat all non-public information shared during a project as confidential. However, general ideas, techniques, or methodologies developed during the engagement remain our intellectual property and may be reused for other clients. For highly sensitive projects, we offer a separate Mutual NDA upon request.
9. Limitation of Liability
To the fullest extent permitted by U.S. law, Custom Websites Designer shall not be liable for:
- Indirect, incidental, or consequential damages.
- Loss of profits, data, or business opportunities.
- Issues arising from third-party platforms (e.g., Shopify outages, Google algorithm updates).
Our total liability for any claim related to our services shall not exceed the total amount paid by you for that specific project.
10. Termination
Either party may terminate a project with 7 days’ written notice. Upon termination:
- You will pay for all work completed up to the termination date.
- We will deliver completed work in progress.
- Deposits are non-refundable.
We reserve the right to suspend or terminate services immediately if payments are overdue or if abusive behavior occurs.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of [Your State, e.g., California or New York], without regard to its conflict of law principles. Any disputes shall be resolved in the state or federal courts located therein.
12. Changes to These Terms
We may update these Terms periodically. Continued use of our services after changes constitutes acceptance. The “Last Updated” date above reflects the most recent revision.
